Board Committees
The Board’s committees prepare and deepen the work within specific areas of responsibility and contribute to efficient and well-structured corporate governance.
Audit Committee
KDventures’ Audit Committee consists of three members: Anders Hallberg (Chair), Anders Bladh and Ben Toogood, all of whom are independent in relation to the company and the company management. The Audit Committee’s main task is to
- monitor the company’s financial reporting,
- with regard to the financial reporting, monitor the effectiveness of the company’s internal control, internal audit and risk management,
- keep informed about the audit of the annual accounts and the consolidated accounts,
- review and monitor the auditor’s impartiality and independence and, in doing so, pay particular attention to whether the auditor provides the company with services other than audit services, and
- assist in the preparation of proposals for the general meeting’s resolution on the election of auditor.
Remuneration Committee
KDventures’ Remuneration Committee consists of three members: Anna Lefevre Skjöldebrand (Chair), Anders Bladh and Angelica Loskog, all of whom are independent in relation to the company and the company management.
The Remuneration Committee’s main task is to
- prepare the Board’s decisions on matters relating to remuneration principles, remuneration and other terms of employment for the company management,
- monitor and evaluate ongoing and programmes concluded during the year for variable remuneration for the company management, and
- monitor and evaluate the application of the guidelines for remuneration to senior executives that the annual general meeting is required by law to decide on, as well as the remuneration structures and remuneration levels in the company.
Investment Committee
KDventures’ Investment Committee consists of three members: Anders Hallberg (Chair), Ben Toogood and Angelica Loskog. The Investment Committee’s main task is to prepare and analyse investment proposals and make recommendations to the company’s Board of Directors.
